Julia advises buyers and sellers in connection with complex mergers and acquisitions, stock and asset purchases and dispositions, management buyouts, consolidations, spinoffs and related transactions.
Securities
Julia has broad experience advising issuers and underwriters in connection with equity and debt offerings, Securities Exchange Act reporting issues, national securities exchange listing issues and various compliance and disclosure issues. She has represented clients in connection with public and private offerings of debt and equity securities, private placements, private investments in public equity (PIPES) and other securities offerings.
Private Equity and Venture Capital
Julia advises private equity and venture capital investors with respect to the acquisition or disposition of portfolio companies, add-on and bolt-on acquisitions, as well as integration and operation of portfolio companies.
Outside General Counsel
Julia serves as an outside general counsel to private companies providing day-to-day counseling and corporate governance advice as well as negotiating and drafting commercial contracts. Clients include SaaS, retail fashion, technology, manufacturing, professional services, and cannabis companies, among others.
