Jay has substantial experience negotiating financing documents, LLC operating agreements and M&A transactions, including on behalf or across from Twitter, LinkedIn, Founder’s Fund, Andreesen Horowitz, BV, FireEye, Gotham Green Ventures, Resonate Blends, the Emerald Cup, MSOs, legacy cannabis companies, MBCs, and businesses not-yet-incorporated. This experience includes structuring transactions to achieve tax efficiency. On a day-to-day level, his goal is empowering clients to use legal agreements rather than lose time and money to creating them.
Most basically, Jay’s job is helping little companies become big companies, from the idea stage to exit. His work includes steering clients away from costly mistakes, especially concerning tax.
Jay’s career began in Silicon Valley at Wilson Sonsini Goodrich & Rosati, P.C. and his clients include investors in tech and healthcare companies graduated from Y Combinator and TechStars, a vertical-takeoff-and-landing drone company, a plus-sized fashion company and companies in stealth mode.
